Terms of Service

Cover Me, a Managed Service Provider based in France, provides its services to you under the following Terms of Service (“TOS”). By using Cover Me’s services, you agree to be bound by the terms outlined below. If you do not agree, please do not use our services.

I. Introduction

Purpose of the TOS: These Terms of Service govern the use of Cover Me’s services, including any associated software, documentation, and support (collectively, the “Services”).

Agreement to TOS: By using the Services, you confirm your acceptance of and agreement to these Terms. If you do not agree to these Terms, you must not use our Services.

II. Services Provided

Description of Services: Cover Me offers a variety of IT services, including but not limited to IT support, network management, software development, and data backup and recovery. The precise services provided will be set out in a separate written agreement between you and Cover Me.

Limitations of Services: While we aim to deliver reliable and efficient services, we do not guarantee that the Services will be continuous or error-free. Cover Me accepts no liability for loss or damage resulting from interruptions or faults in the Services.

III. Payment and Fees

Payment Terms: Payment is required in advance for all Services, unless otherwise agreed. Accepted payment methods include credit/debit card, BACS transfer, or cheque.

Fees: Charges for Services are billed monthly or as otherwise agreed in your contract. The specific fees applicable to you will be detailed in a separate agreement.

Refund Policy: Payments made for Services are non-refundable unless explicitly stated otherwise in writing.

IV. Data Security and Confidentiality

Data Security: Cover Me is committed to protecting your data and employs industry-standard security protocols, including encryption, secure servers, and firewall technology.

Confidentiality Agreement: We will not share or disclose your data to third parties without your express written consent, except where required by law or regulation.

V. Service Level Agreement (SLA)

Service Level Guarantees: The level of service provided, including any uptime guarantees, will be specified in your individual SLA or service contract.

Reporting and Resolving Service Issues: In the event of a service issue, you should contact Cover Me’s support team. We will make reasonable efforts to resolve all issues within a prompt and appropriate timeframe.

VI. Intellectual Property

Ownership of Intellectual Property: Any intellectual property created or provided by Cover Me remains the property of Cover Me, unless expressly agreed otherwise.

Restrictions on Use: You are not permitted to use, reproduce, or distribute Cover Me’s intellectual property for any purpose beyond that which is contractually agreed.

VII. Termination and Cancellation

Conditions for Termination or Cancellation: Cover Me reserves the right to suspend or terminate Services at any time in the event of a breach of these Terms.

Procedures for Termination or Cancellation: In such cases, you will be notified in writing. Any outstanding charges will become immediately payable upon termination.

VIII. Liability And Indemnification

Limitations of Liability: Cover Me shall not be held liable for any indirect, incidental, or consequential loss or damage arising from your use of the Services.

Indemnification: You agree to indemnify and hold harmless Cover Me, including its employees, directors, and agents, from and against all claims, losses, damages, or expenses resulting from your breach of these Terms.

IX. Dispute Resolution

Agreement to Resolve Disputes Through Arbitration or Mediation: Any disputes relating to these Terms shall be resolved through arbitration or mediation, as mutually agreed by both parties.

X. Governing Law and Jurisdiction

Governing Law: These Terms shall be governed by and construed in accordance with the [laws of England and Wales / laws of Scotland / laws of Northern Ireland], without regard to conflict of law principles.

Entire Agreement: These Terms constitute the entire agreement between you and Cover Me regarding the Services.

Severability: If any part of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in effect.

No Waiver: A failure by Cover Me to enforce any provision of these Terms does not constitute a waiver of that provision.

Force Majeure: Cover Me shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to acts of God, war, strikes, or governmental action.
